General terms and conditions for business customers

1) Scope

These General Terms and Conditions for Business Customers (GTC) apply to our transactions with business partners and suppliers. The terms and conditions apply to entrepreneurs according to §14 BGB and legal entities under public law.

2) Offers, Orders, Copyright

An offer is non-binding with regard to price, delivery time and delivery quantity. The offers are non-binding. The order is binding as soon as it has been confirmed by us in writing or the delivery has been carried out.

We reserve the right of ownership and copyright to our calculations, formulations, recipes and other documents. This applies in particular to the note “Confidential”, which requires our written consent before it can be passed on.

3) Delivery, Delivery time, Customer’s obligation to cooperate

Deliveries are generally not free. Unless otherwise noted, delivery ex works (EXW, ExWorks Incoterms 2021) is deemed to have been agreed. At the customer’s request, transport insurance can be taken out, with the customer bearing the costs. Shipping is at the risk of the buyer and as soon as the goods leave the delivery point.

Partial deliveries are possible unless expressly excluded. Depending on the production, ordered quantities can be up to 5% higher or lower. Separate agreements apply to the return of packaging.

If the seller is in arrears with the delivery, the buyer must allow a reasonable additional delivery period. Unforeseeable events that are beyond our control, such as force majeure, strikes, war, import and export bans, including those of suppliers, entitle us to extend the delivery period or to withdraw from the contract. Claims for damages for delayed deliveries or for withdrawal from the contract declared by us are excluded.

The customer is responsible for checking the suggestions made by us for the production, packaging, recipe, form, text and labeling. He undertakes to observe all legal regulations and ordinances as well as EU directives. The customer guarantees the accuracy and completeness of the information we provide for production.

When selling with your own label, the buyer is solely responsible for advertising statements, identification, naming and marketability.

In the case of contract tableting, we claim the yield loss allowance stated in the offer.

4) Prices, Payments

Statutory sales tax is not included in the prices, but is shown separately on the invoice. Unless otherwise agreed, our invoice is due for payment immediately after delivery without deduction. The delivered goods remain our property until the purchase price and all other claims from the business relationship have been paid in full.

Deliveries outside the European Union may incur costs which we have no control over and which the customer must bear (taxes, customs duties, fees, exchange rates).

5) Data Protection

All data about customers and personal data will be treated confidentially and in accordance with data protection laws.
The seller is permitted to store, collect, use and process data from customers and to pass it on to third parties for processing in debt collection or debtor processing.

6) Jurisdiction, Miscellaneous

The law of the Federal Republic of Germany applies and our location is the place of performance. The place of jurisdiction is our location 69126 Heidelberg, provided the customer is a merchant. The application of the UN sales law is excluded.

Should a provision of these General Terms and Conditions not be legally effective or enforceable or later lose it, the validity of the other provisions shall not be affected. In place of such a provision, an appropriate provision shall apply that comes as close as possible to the invalid provision, insofar as this is legally possible.

7) Warranty, Liability

After receipt, the buyer checks the goods for completeness and flawless condition. Defects must be reported in detail in writing within 7 days of receipt of the goods. If the buyer fails to make a complaint in good time, the goods are deemed to have been accepted by the buyer in terms of quantity and quality.

However, transport damage is reported immediately upon delivery and noted in writing by the carrier. In this case, the buyer will receive a written confirmation from the driver with a description of the transport damage.

In the event of a complaint about missing quantities, the seller has the choice of a credit note or subsequent delivery. Deviations in colour, taste and tablet form from the sample consignment do not justify a complaint.

If the buyer has complained about the goods in good time, we will either exchange the goods or refund the purchase price, at our choice.
